1.1 ITALIANO

Il vettore dichiara e conferma di essere un imprenditore indipendente, titolare di propria organizzazione, propri mezzi, proprio personale e proprie licenze, e di eseguire i servizi in piena autonomia organizzativa e con rischio d'impresa proprio.

Il vettore dichiara che ne lui, ne alcuno dei suoi autisti, collaboratori o ausiliari e dipendente, agente, rappresentante o lavoratore subordinato di Blacklux, della societa che gestisce il marchio Blacklux o di qualsiasi soggetto ad essa collegato. Gli autisti indicati dal vettore sono suoi dipendenti o suoi collaboratori: il vettore e il loro unico datore di lavoro o committente.

Il vettore e l'unico responsabile, verso i propri autisti e collaboratori e verso le autorita competenti, di: assunzione e gestione del personale, retribuzioni, oneri sociali e previdenziali, imposte e trattenute, assicurazioni obbligatorie compresa quella contro gli infortuni, tempi di guida e di riposo, sicurezza sul lavoro, licenze e abilitazioni professionali proprie e dei propri autisti.

Il vettore si impegna a manlevare e tenere indenne Blacklux da ogni pretesa, azione, sanzione od onere avanzati dai propri autisti o collaboratori, oppure da enti previdenziali, assicurativi o fiscali, che traggano origine dal rapporto fra il vettore e il proprio personale.

Gli standard operativi e di qualita richiesti da questo regolamento definiscono il RISULTATO atteso del servizio e la qualita dovuta al cliente finale. Non costituiscono direttive gerarchiche, non comportano vincolo di orario, di esclusiva o di presenza, e non incidono sull'autonomia con cui il vettore organizza la propria attivita: il vettore resta libero di accettare o rifiutare ogni singolo servizio, di lavorare per altri committenti e di scegliere quali autisti e quali mezzi impiegare.

Nessuna disposizione di questo regolamento puo essere interpretata come costitutiva di un rapporto di lavoro subordinato, di una societa, di un'associazione in partecipazione o di un rapporto di agenzia fra le parti.

1.2 ENGLISH

The supplier declares and confirms that it is an independent business, with its own organisation, its own vehicles, its own staff and its own licences, and that it performs the services in full organisational autonomy and at its own entrepreneurial risk.

The supplier declares that neither it nor any of its chauffeurs, collaborators or auxiliaries is an employee, agent, representative or subordinate worker of Blacklux, of the company operating the Blacklux brand or of any entity connected to it. The chauffeurs named by the supplier are its own employees or collaborators: the supplier is their sole employer or principal.

The supplier is solely responsible, towards its own chauffeurs and collaborators and towards the competent authorities, for: hiring and management of staff, wages, social security and pension contributions, taxes and withholdings, compulsory insurance including accident insurance, driving and rest times, occupational safety, and professional licences and qualifications of itself and of its chauffeurs.

The supplier undertakes to indemnify and hold Blacklux harmless from any claim, action, penalty or charge brought by its own chauffeurs or collaborators, or by social security, insurance or tax authorities, arising out of the relationship between the supplier and its own staff.

The operational and quality standards required by these rules define the expected RESULT of the service and the quality owed to the end client. They do not constitute hierarchical instructions, they imply no obligation of working time, exclusivity or presence, and they do not affect the autonomy with which the supplier organises its business: the supplier remains free to accept or refuse each individual service, to work for other principals and to choose which chauffeurs and which vehicles to use.

No provision of these rules may be construed as creating an employment relationship, a partnership, a joint venture or an agency relationship between the parties.

1.3 DEUTSCH

Der Transportunternehmer erklart und bestatigt, ein selbstandiges Unternehmen zu sein, mit eigener Organisation, eigenen Fahrzeugen, eigenem Personal und eigenen Bewilligungen, und die Dienstleistungen in voller organisatorischer Selbstandigkeit und auf eigenes unternehmerisches Risiko zu erbringen.

Der Transportunternehmer erklart, dass weder er selbst noch einer seiner Chauffeure, Mitarbeiter oder Hilfspersonen Arbeitnehmer, Vertreter oder weisungsgebundener Mitarbeiter von Blacklux, der die Marke Blacklux betreibenden Gesellschaft oder eines mit ihr verbundenen Unternehmens ist. Die vom Transportunternehmer genannten Chauffeure sind seine eigenen Arbeitnehmer oder Mitarbeiter: er allein ist ihr Arbeitgeber oder Auftraggeber.

Der Transportunternehmer ist gegenuber seinen Chauffeuren und Mitarbeitern sowie gegenuber den zustandigen Behorden allein verantwortlich fur: Anstellung und Fuhrung des Personals, Lohne, Sozialversicherungs- und Vorsorgebeitrage, Steuern und Quellensteuern, obligatorische Versicherungen einschliesslich der Unfallversicherung, Lenk- und Ruhezeiten, Arbeitssicherheit sowie die eigenen und die Bewilligungen und Berufsqualifikationen seiner Chauffeure.

Der Transportunternehmer verpflichtet sich, Blacklux von samtlichen Anspruchen, Klagen, Sanktionen oder Belastungen freizustellen und schadlos zu halten, die von seinen Chauffeuren oder Mitarbeitern oder von Sozialversicherungs-, Versicherungs- oder Steuerbehorden erhoben werden und ihren Ursprung im Verhaltnis zwischen dem Transportunternehmer und seinem Personal haben.

Die in diesem Reglement verlangten Betriebs- und Qualitatsstandards umschreiben das erwartete ERGEBNIS der Dienstleistung und die dem Endkunden geschuldete Qualitat. Sie stellen keine Weisungen im arbeitsrechtlichen Sinne dar, begrunden keine Bindung an Arbeitszeit, Exklusivitat oder Anwesenheit und beruhren die Selbstandigkeit nicht, mit welcher der Transportunternehmer seine Tatigkeit organisiert: er bleibt frei, jeden einzelnen Auftrag anzunehmen oder abzulehnen, fur andere Auftraggeber zu arbeiten und zu bestimmen, welche Chauffeure und welche Fahrzeuge er einsetzt.

Keine Bestimmung dieses Reglements darf als Begrundung eines Arbeitsverhaltnisses, einer einfachen Gesellschaft, einer Beteiligung oder eines Agenturverhaltnisses zwischen den Parteien ausgelegt werden.


2. ACCEPTANCE OF THESE RULES

The acceptance, taking charge, and execution of the assigned services imply the automatic, full, and binding acceptance of all the general conditions, operational rules, and quality standards listed below, without any exception or reservation.

Acceptance takes place at the moment the service is accepted, WHATEVER THE CHANNEL USED. Accepting a service in the Blacklux Driver Platform, clicking the acceptance button in the Blacklux notification email, confirming the service by telephone, by email or by message, or taking the service in charge in any other way, all have the same effect: they constitute full acceptance of these rules in the version in force on that day. Neither the use of the app nor any further signature is required for these rules to be binding. An acceptance given verbally, in particular by telephone to Blacklux operations, is valid and binding to the same extent as an acceptance recorded in the app.

PERFORMANCE OF THE SERVICE COUNTS AS ACCEPTANCE. Where a service has been performed, in whole or in part, the performance itself constitutes full and unreserved acceptance of these rules in the version in force on the date of the service, even where no acceptance was previously recorded in the Blacklux Driver Platform and even where the agreement was reached verbally. The supplier may not invoke the absence of an electronic record in the app in order to claim that it did not accept these rules for a service it has taken in charge or performed. Blacklux records such acceptances in its own systems, stating that they were collected outside the app and by whom they were recorded.

In the Blacklux Driver Platform the acceptance is also express: before the service can be accepted, the full text of these rules is displayed and must be accepted by ticking the dedicated box, and the service cannot be accepted without it. That acceptance is recorded electronically with the identity of the person accepting, their role, the date and time, the network address used, the version of these rules and the cryptographic fingerprint of the text accepted.

The supplier is responsible for making these rules known to each of its chauffeurs and for ensuring that they are observed, whether or not the chauffeur uses the app.


3. OPERATIONAL PROTOCOL, TRACKING AND SAFETY (MANDATORY)

3.1 PUNCTUALITY AND ARRIVAL

- ON-SITE ARRIVAL: It is mandatory to be present at the meeting location AT LEAST 15 MINUTES BEFORE the booked time and simultaneously send your GPS position to the operations center. Arriving at the booked time counts as arriving late.
- The vehicle must be at the pick-up point, clean, ready and correctly parked, before the booked time, so that the passenger never has to wait.
- Any circumstance that may compromise a timely arrival (traffic, road closure, breakdown, illness) must be reported to Blacklux operations IMMEDIATELY, as soon as it is known and never at the last minute, so that a replacement can be arranged.

3.2 POSITIONS AND MILESTONES (GPS)

- ON ARRIVAL: send the GPS position from the meeting point, before the booked time.
- SERVICE START: As soon as the client is on board and the vehicle is in motion, the chauffeur must immediately notify the office.
- SERVICE END: Upon drop-off of the client and luggage, the chauffeur must send the final GPS position and promptly confirm that the destination has been reached.
- The positions requested by the app are part of the service and are mandatory: a service carried out without sending them is an incomplete service. Refusing or disabling location services on the device, or sending a position from a place other than where the vehicle actually is, is a serious breach of these rules.

3.3 DRIVING AND SAFETY ON BOARD

- SPEED LIMITS: the chauffeur must at all times comply with the speed limits and with every traffic rule in force in the territory being driven through. A request from the passenger to drive faster never justifies a breach, and must be refused politely.
- SEATBELTS: before moving off, the chauffeur must make sure that ALL OCCUPANTS, in every seat, are wearing their seatbelt, and must check again after every stop.
- CHILDREN: children must travel in the child seats or booster seats indicated on the service, correctly fitted and suitable for their age and size.
- CAPACITY: the number of people carried may never exceed the seats approved for the vehicle. Luggage must be secured and must never obstruct visibility or the passenger area.
- The use of a hand-held mobile phone while driving is forbidden. Driving under the influence of alcohol or of any substance affecting fitness to drive is forbidden. Driving and rest times must be observed.
- Smoking is forbidden inside the vehicle at all times, including when the vehicle is empty.
- The chauffeur must hold a valid driving licence and the professional authorisations required, and the vehicle must be roadworthy, insured and compliant with the law of every territory crossed.

3.4 COMMUNICATION AND CLOSING THE SERVICE

- Blacklux operations must be informed immediately of: delay, accident, breakdown, illness, route changes requested by the passenger, additional stops, additional hours, damage and lost property.
- The service notes must be written and completed within midnight of the day of the service. After that time changes are no longer accepted.
- All communication with the passenger takes place exclusively through the Blacklux channels, as provided in section 9.


4. WAITING TIMES AND SERVICE REQUIREMENTS

4.1 WAITING TIMES

- Airport waiting time: 60 minutes for domestic flights and 90 minutes for intercontinental flights, counted from the booked time.
- No-show at the airport: the chauffeur must remain at the airport for at least 60 minutes from the booked time before reporting a no-show, and must send the photographic evidence and the GPS position requested by the app.
- Hotel wait time: 15 minutes.
- Any other pick-up address: 15 minutes.
- The chauffeur may not leave the pick-up point before the applicable waiting time has elapsed, and must inform Blacklux operations before leaving. Leaving early is treated as a failure to appear.

4.2 VEHICLE AND CAPACITY

- Each passenger must have an individual seat and be able to carry one standard suitcase.
- Each seat must be equipped with a working seatbelt.
- Vehicles must have functioning air conditioning and heating systems.
- Luggage must be securely stored and separated from passenger seating areas.
- Vehicles must be equipped with all required safety equipment.
- Both the vehicle and transport company must comply with all applicable local laws pertaining to commercial passenger transport and possess all necessary licenses and insurance.


5. QUALITY AND SERVICE STANDARDS

- DRESS CODE: Full black suit, crisp white shirt, conservative dark tie, and polished black dress shoes (mandatory).
- LANGUAGE SKILLS: Chauffeur must be fully fluent in English and maintain professional communication at all times.
- ONBOARD AMENITIES: Complimentary bottled water in glass bottles (one per passenger), refreshing wipes, and active, free Wi-Fi access must be provided.
- VEHICLE CONDITION: Pristine vehicle status, inside and out.
- AIRPORT MEET AND GREET: It is mandatory to be present at the arrivals gate equipped with a tablet. The screen must display the official Blacklux logo, which will be provided by the company upon request, and the client name clearly and legibly. The use of paper signs or handwritten sheets is strictly forbidden.


6. BAN ON SUBCONTRACTING (ASSIGNMENT TO THIRD PARTIES)

The assigned service is strictly personal and cannot under any circumstances be assigned or subcontracted to third parties without prior written authorization, sent exclusively via email, by the Blacklux operations management. Any unauthorized violation will result in the immediate revocation of the service, cancellation of the payment, and permanent suspension of the supplier account.


7. PARTENZE PERSE PER CAUSA DEL VETTORE - RISARCIMENTO
   MISSED DEPARTURES CAUSED BY THE SUPPLIER - COMPENSATION

7.1 ITALIANO

Se per causa del vettore o di un suo autista il passeggero perde un aereo, una nave, un traghetto, un treno, un autobus di linea, una coincidenza o qualunque altra partenza programmata, oppure non riesce a presentarsi a un appuntamento, a un evento o a un servizio gia prenotato, il vettore risponde di tutte le conseguenze economiche che ne derivano.

Rientrano fra le cause imputabili al vettore, a titolo di esempio e senza che l'elenco sia esaustivo: il ritardo rispetto all'orario di prelievo, la mancata presentazione, l'abbandono del servizio, l'interruzione ingiustificata, l'invio di un veicolo non idoneo o diverso da quello richiesto, l'errore di luogo o di orario di prelievo, il guasto del veicolo senza sostituzione tempestiva e il mancato rispetto degli obblighi di puntualita e di comunicazione previsti da questo regolamento.

Il vettore rimborsa a Blacklux ogni somma che Blacklux debba sostenere, rimborsare o riconoscere al cliente per rimediare all'accaduto, fra cui: nuovi biglietti o nuovi titoli di viaggio per tutti i passeggeri coinvolti, differenze tariffarie e spese di riprenotazione o di modifica, pernottamenti in albergo, pasti, trasferimenti sostitutivi, spedizione o riconsegna dei bagagli, prenotazioni perse o non rimborsabili, servizi non goduti, e l'importo del servizio rimborsato o accreditato al cliente.

Blacklux comunica al vettore l'importo richiesto allegando i giustificativi di spesa, e puo compensarlo con quanto dovuto al vettore per lo stesso servizio o per altri servizi. Il presente articolo si aggiunge, e non sostituisce, le penali previste altrove in questo regolamento.

Il vettore non risponde se dimostra, con documentazione, che l'accaduto dipende da una causa a lui non imputabile e non evitabile con l'ordinaria diligenza professionale, come la chiusura di una strada disposta dall'autorita, un evento atmosferico eccezionale o un blocco della circolazione non prevedibile al momento della partenza. Il traffico ordinario, la scelta del percorso, la mancata previsione di un margine di sicurezza sufficiente e i guasti del veicolo non costituiscono causa non imputabile.

7.2 ENGLISH

Where, through the fault of the supplier or of one of its chauffeurs, the passenger misses a flight, a ship, a ferry, a train, a scheduled coach, a connection or any other scheduled departure, or is unable to attend an appointment, an event or any other service already booked, the supplier is liable for all the financial consequences arising from it.

Causes attributable to the supplier include, by way of example and without limitation: lateness in relation to the booked pick-up time, failure to appear, abandonment of the service, unjustified interruption, providing a vehicle that is unsuitable or different from the one requested, an error as to the pick-up place or time, vehicle breakdown without prompt replacement, and failure to comply with the punctuality and communication obligations set out in these rules.

The supplier shall reimburse Blacklux for every amount that Blacklux has to bear, refund or credit to the client in order to remedy the situation, including: new tickets or travel documents for all the passengers concerned, fare differences and rebooking or amendment fees, hotel accommodation, meals, replacement transfers, forwarding or return of luggage, bookings lost or non-refundable, services not used, and the amount of the service refunded or credited to the client.

Blacklux notifies the supplier of the amount claimed together with the supporting documents, and may set it off against sums due to the supplier for the same service or for other services. This article is in addition to, and does not replace, the penalties provided elsewhere in these rules.

The supplier is not liable where it proves, with documentary evidence, that the event was due to a cause not attributable to it and not avoidable with ordinary professional diligence, such as a road closure ordered by the authorities, an exceptional weather event or a traffic blockage that was not foreseeable at the time of departure. Ordinary traffic, the choice of route, failure to allow a sufficient safety margin, and vehicle breakdowns are not causes beyond the supplier's control.


8. PAYMENTS, CANCELLATIONS AND ACCOUNT RATING

8.1 FINANCIAL DETAILS AND PAYMENTS

The specified rate represents your net payout, with the agency commission already deducted. Payment is collected upfront and credited upon successful completion of the service, in strict accordance with standard Blacklux payment terms.

8.2 CANCELLATIONS AND ACCOUNT RATING

Cancellations over 120 hours do not incur financial penalties. However, driver-initiated removals negatively impact your internal Account Quality Score and restrict future dispatch allocation.


9. DIVIETO DI CONTATTO DIRETTO CON IL CLIENTE
   BAN ON DIRECT CONTACT WITH THE CLIENT

9.1 ITALIANO

Al vettore e a ogni suo autista e vietato comunicare al passeggero, o a chiunque per suo conto, il proprio numero di telefono, indirizzo email, profilo social, biglietto da visita, denominazione della propria azienda o qualunque altro recapito personale o aziendale, prima, durante e dopo il servizio. E del pari vietato comunicare i recapiti di terzi, chiedere al passeggero i propri recapiti, proporgli servizi diretti presenti o futuri, o concordare con lui corse successive al di fuori di Blacklux. Ogni comunicazione con il passeggero avviene esclusivamente attraverso i canali della piattaforma.

Al vettore e a ogni suo autista e altresi vietato incassare dal passeggero qualsiasi importo, in contanti o con qualunque altro mezzo di pagamento, a qualsiasi titolo. Il corrispettivo del servizio e gia stato incassato da Blacklux.

La violazione comporta il mancato pagamento del servizio interessato, una penale di 3.500 franchi svizzeri (CHF 3'500) e la sospensione dell'account.

La penale e dovuta a titolo di risarcimento forfettario del danno derivante dalla sottrazione di clientela. Le parti riconoscono che tale danno eccede il valore del singolo servizio e non e quantificabile a priori: l'importo della penale e pertanto indipendente dal corrispettivo del servizio interessato.

9.2 ENGLISH

The supplier and each of its chauffeurs are forbidden to give the passenger, or anyone acting on the passenger's behalf, their own telephone number, email address, social media profile, business card, company name or any other personal or business contact detail, before, during and after the service. It is equally forbidden to pass on third party contact details, to ask the passenger for their contact details, to offer them direct services now or in the future, or to arrange further journeys with them outside Blacklux. All communication with the passenger takes place exclusively through the platform channels.

The supplier and each of its chauffeurs are equally forbidden to collect any amount from the passenger, in cash or by any other means of payment, on any ground whatsoever. The fee for the service has already been collected by Blacklux.

A breach results in non-payment of the service concerned, a contractual penalty of three thousand five hundred Swiss francs (CHF 3'500) and suspension of the account.

The penalty is due as liquidated damages for the harm caused by the diversion of clientele. The parties acknowledge that this harm exceeds the value of the single service and cannot be quantified in advance: the amount of the penalty is therefore independent of the fee for the service concerned.


10. TERMS OF SERVICE AND COMPLIANCE

The service must be executed in strict compliance with the Blacklux General Conditions for Ground Transportation Services, the Quality Specification Manual, and the official Approval Specifications. By submitting a quotation, confirming, accepting, taking charge of, or executing a service, the Supplier declares that all the aforementioned regulatory documents and conditions have been fully reviewed, understood, and accepted without reservation. The acceptance is recorded electronically in the Blacklux Driver Platform.
